The MasterLink Software License Agreement

MLS 2026 Software License Agreement

Please read this agreement carefully before installing or using MLS 2026.

By installing, accessing, or operating MLS 2026, you acknowledge that you have read, understood, and agreed to the terms of this License Agreement.


1. Grant Of License

MasterLink Software grants the licensed business a non-exclusive, non-transferable license to use MLS 2026 and its related materials for normal business operations.

This license permits use of the software:

•by the licensed business

•at its authorized business location(s)

•on approved computer systems and workstations connected to that business operation

MLS 2026 is licensed — not sold.

MasterLink Software retains ownership of:

•the software

•program design

•source code

•documentation

•visual presentation

•system organization

•trademarks

•copyrighted materials

•all related intellectual property

Your business data, including client records, workorders, accounting information, inventory data, and other operational records entered by your company, remains your property.


2. Subscription & Legacy Licensing

MLS 2026 is primarily licensed as a subscription service.

Access to:

•software updates

•support services

•online integrations

•connected features

•enhancement releases

may depend upon maintaining an active subscription or support agreement.

Some long-term customers may continue operating under prior legacy licensing arrangements, including quarterly support agreements. Those agreements remain valid under their original approved terms unless replaced by a newer written agreement.

Failure to maintain required subscription or support payments may result in:

•suspension of updates

•loss of support eligibility

•interruption of certain online or integrated services


3. Permitted Use

The licensed business may:

•install and operate MLS 2026 on its authorized systems

•create reasonable backup copies for archival and disaster recovery purposes

•use the software for normal internal business operations

•access shared data across authorized workstations within the licensed business environment

All rights not specifically granted remain reserved by MasterLink Software.


4. Restrictions

You may not:

•copy or distribute the software except as specifically permitted

•sublicense, lease, rent, or resell the software

•provide access to unauthorized third parties

•reverse engineer, decompile, disassemble, or attempt to derive source code

•remove copyright or trademark notices

•attempt to bypass licensing, activation, or security systems

•use the software to develop competing or derivative products

The software license is issued to the original licensed business entity and does not automatically transfer upon sale of the business.

License transfer requests must:

•be submitted in writing

•be approved by MasterLink Software

•include applicable transfer fees

•comply with current licensing requirements

Approval of transfers remains solely at the discretion of MasterLink Software.


5. Copyright & Intellectual Property

MLS 2026 and all related materials are protected by:

•United States copyright law

•trademark law

•trade secret protections

•international intellectual property laws

Unauthorized copying, distribution, disclosure, or reproduction of the software or related materials is strictly prohibited.

This protection includes:

•source code

•documentation

•screen layouts

•workflow organization

•operational concepts

•program architecture

•visual design

•database structures


6. Data Responsibility

Your business is responsible for maintaining:

•proper backups

•system security

•hardware reliability

•network stability

•antivirus protection

•operating system maintenance

MasterLink Software strongly recommends:

•regular verified backups

•offsite backup storage

•proper surge protection

•stable network infrastructure

•modern supported operating systems


7. Warranty Disclaimer

MLS 2026 is provided “as is” except where specifically prohibited by law.

MasterLink Software warrants that the software will substantially perform according to the published documentation under normal operating conditions.

However, no software system can guarantee completely uninterrupted or error-free operation.

MasterLink Software does not guarantee:

•uninterrupted service

•compatibility with all third-party products

•uninterrupted internet-based integrations

•prevention of data loss caused by hardware, network, operating system, security, or user-related failures

To the maximum extent permitted by law, MasterLink Software disclaims all other warranties, express or implied, including warranties of:

•merchantability

•fitness for a particular purpose

•non-infringement


8. Limitation Of Liability

To the fullest extent permitted by law, MasterLink Software shall not be liable for:

•lost profits

•business interruption

•data loss

•revenue loss

•downtime

•consequential damages

•incidental damages

•indirect damages

•third-party claims

This limitation applies even if MasterLink Software has been advised of the possibility of such damages.

In all cases, total liability shall not exceed the amount paid by the licensee for the most recent subscription, support term, or license period associated with the claim.


9. Source Code

The MLS 2026 source code remains the exclusive proprietary property of MasterLink Software.

Source code is not licensed, sold, or distributed to customers, dealers, contractors, or third parties.


10. Termination

This agreement remains in effect:

•while the software is being used

•while required subscription or support terms remain active

•until terminated by either party

MasterLink Software may terminate this agreement if the licensee materially violates its terms.

Upon termination, the licensee must discontinue use of the software and related protected materials.


11. Governing Law

This agreement shall be governed by the laws of the State of California.

Any disputes arising from this agreement, the software, or related materials shall be resolved exclusively in Orange County, California.


12. Entire Agreement

This agreement represents the complete understanding between the parties regarding MLS 2026 licensing and use.

It supersedes prior:

•discussions

•advertisements

•representations

•proposals

•communications

•agreements

Any modification to this agreement must be made in writing and authorized by MasterLink Software.

If any portion of this agreement is determined unenforceable, the remaining provisions shall remain in full effect.


13. Third-Party Dealers & Resellers

Some customers may purchase hardware, setup assistance, training, or software services through independent dealers or resellers.

Unless specifically stated in writing:

•resellers are not agents of MasterLink Software

•resellers may not legally bind MasterLink Software

•reseller agreements are separate from this software license

MasterLink Software is not responsible for disputes involving:

•hardware sales

•reseller services

•reseller promises

•third-party consulting arrangements

•non-authorized modifications


14. State Law Rights

This agreement provides specific legal rights.

You may also have additional rights that vary by state or jurisdiction.
